These Terms of Service ("Terms") govern your access to and use of Nytout Inc.'s ("Nytout," "we," "us," or "our") website, mobile app, and related services. By using Nytout, you agree to these Terms.

These launch-edition Terms are intended for Nytout's Canada-only launch period, excluding Quebec. They may be updated as Nytout's corporate details, products, service providers, or legal requirements change.

1. About Nytout

Nytout is a Canada-only nightlife event ticketing platform, excluding Quebec. Nytout allows users to discover events, purchase tickets, receive tickets, and attend participating nightlife events.

2. Eligibility

You must be at least 18 years old to use Nytout. By using Nytout, you confirm that you are 18 or older and legally able to enter into these Terms.

3. Accounts

You are responsible for maintaining the security of your account and for activity under your account. You must provide accurate information and keep it up to date.

We may suspend or terminate accounts that violate these Terms, create risk, misuse the platform, or provide false information.

4. Tickets and Event Admission

A ticket purchased through Nytout grants the holder a limited right to seek admission to the event identified on the ticket, subject to organizer event rules, venue rules, age restrictions, capacity and safety requirements, valid ticket verification, and applicable laws.

Admission may be refused by the organizer or venue where legally permitted, including for safety, fraud prevention, failure to meet age requirements, invalid tickets, or violation of venue rules.

5. Age-Gated Events

Nytout sells tickets for nightlife events. Events may require proof of age or identity at admission. Purchasing a ticket does not guarantee entry if you cannot satisfy the organizer's or venue's age, identification, dress code, safety, or conduct requirements.

6. Pricing, Fees, and Taxes

Ticket prices, service fees, and applicable taxes are shown at checkout before purchase confirmation. By completing checkout, you agree to pay the displayed amount.

Nytout may charge service fees for use of the platform. Service fees may be non-refundable unless otherwise stated at checkout or required by law.

7. Refunds and Cancellations

Refund policies are set by event organizers and enforced through Nytout.

When an organizer provides a refund policy, Nytout may administer refunds according to that policy. Refund availability may depend on the event, timing, organizer rules, payment status, and applicable law.

If an event is cancelled, postponed, materially changed, or otherwise disrupted, refund or credit handling will be determined by the organizer's policy, Nytout's platform rules, and applicable law.

8. No Transfers or Resale

Nytout does not currently support ticket transfers or resale. You may not sell, resell, transfer, duplicate, screenshot, manipulate, or misuse tickets except through features expressly provided by Nytout.

9. Push Notifications and Service Messages

Nytout may send transactional and service messages related to your account, tickets, orders, events, security, support, refunds, or platform operation. Push notifications can be controlled through your device settings.

10. User Conduct

You must not:

  • Use Nytout if you are under 18.
  • Provide false or misleading information.
  • Attempt to bypass age checks, payment checks, or ticket validation.
  • Use another person's account or ticket without authorization.
  • Interfere with platform security or availability.
  • Abuse refund, chargeback, or support processes.
  • Upload, submit, or transmit unlawful, harmful, fraudulent, or infringing content.
  • Use Nytout in a way that violates applicable law.

11. Organizer and Venue Responsibilities

Organizers are responsible for their events, descriptions, pricing, refund policies, admission rules, safety practices, venue compliance, and event operations.

Nytout may provide ticketing, checkout, refund administration, and platform services, but Nytout is not responsible for every aspect of organizer-operated events.

12. Payments

Payments are processed by third-party payment providers. By purchasing tickets, you agree that payment providers may process your payment information according to their own terms and privacy policies.

Nytout does not store full payment card numbers.

13. Chargebacks and Payment Disputes

If you dispute a charge, we may review your order, ticket usage, event attendance status, organizer policy, and platform records. Abuse of chargebacks or payment disputes may result in account suspension.

14. Platform Availability

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability. We may modify, suspend, or discontinue parts of the service at any time.

15. Third-Party Services

Nytout relies on third-party services for authentication, payments, hosting, analytics, infrastructure, and related operations. We are not responsible for third-party services outside our control.

16. Intellectual Property

Nytout and its platform content, branding, software, and related materials are owned by Nytout or its licensors. You may not copy, modify, distribute, reverse engineer, or misuse Nytout's platform or branding except as permitted by law.

17. Privacy

Our collection and use of personal information is described in our Privacy Policy and Cookie Policy.

18. Disclaimers

Nytout is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and error-free operation.

19. Limitation of Liability

To the maximum extent permitted by law, Nytout is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, loss of goodwill, event disruption, denied admission, or third-party conduct.

To the maximum extent permitted by law, Nytout's total liability for claims relating to the service is limited to the amount you paid to Nytout for the ticket or service giving rise to the claim.

20. Indemnity

You agree to indemnify and hold harmless Nytout from claims, losses, damages, liabilities, costs, and expenses arising from your misuse of the service, violation of these Terms, violation of law, or infringement of another person's rights.

21. Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law rules.

22. Disputes

Before starting a legal claim, you agree to contact us at support@nytout.app so we can try to resolve the issue informally.

If a dispute cannot be resolved informally, it may be brought before the courts of Ontario, Canada, subject to applicable consumer protection laws.

23. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the app, website, or another reasonable method. Continued use of Nytout after changes means you accept the updated Terms.
